UK Smart Meter Platform OnStream Acquired by Igneo From Macquarie

Igneo Infrastructure Partners, the direct infrastructure arm of First Sentier Investors, has agreed to purchase OnStream, the United Kingdom’s second-largest smart meter asset provider, from Macquarie Group‘s Specialised and Asset Finance division. The deal transfers control of more than seven million later-generation smart meters, primarily SMETS2 devices, operating across the UK and Germany, along with a contracted pipeline of an additional three million units.

A Two-Decade Portfolio Changes Hands

Macquarie built its UK metering business over more than twenty years, having first entered the sector in 2003. During that period, the Australian financial group invested upwards of £2 billion to support the nationwide smart meter rollout mandated by the UK government. The OnStream portfolio also incorporates the majority of the 2.7 million meters that Macquarie purchased from Spanish energy utility Iberdrola in 2025 for approximately £900 million, a transaction that had expanded Macquarie’s total UK meter count to over 13 million.

After this sale, Macquarie will retain roughly six million traditional and first-generation smart meters (SMETS1) in the UK, maintaining a significant but reduced presence in the country’s metering infrastructure.

Transaction Structure and Strategic Rationale

Igneo is financing the acquisition through its third European infrastructure strategy and its global infrastructure strategy, supplemented by acquisition debt facilities. The financial terms have not been disclosed. Legal advisory for Igneo was provided by Freshfields.

For Igneo, which manages over US$22 billion in assets for more than 200 investors worldwide, the deal aligns with a broader strategy of investing in mid-market infrastructure businesses that provide essential services with stable, long-term cash flows. The firm’s existing portfolio spans renewables, digital infrastructure, waste management, water utilities, and transportation across Europe, North America, and Australasia.

OnStream’s meter asset provision (MAP) model generates recurring revenue through long-term rental agreements with energy suppliers, a structure that mirrors the type of contracted income streams infrastructure funds typically seek. Beyond its core UK operations, OnStream also manages approximately 60,000 meters in Germany, where it holds the position of the country’s largest independent MAP operator.

Timing in the Context of UK Rollout Targets

The acquisition arrives at a pivotal moment in the UK’s smart metering programme. According to the Department for Energy Security & Net Zero, 41 million smart and advanced meters were operating across Great Britain by the end of 2025, covering 71% of all metering points. Of those, approximately 37 million were functioning in full smart mode.

The UK government’s post-2025 framework now requires energy suppliers to take all reasonable steps to achieve 100% smart meter coverage by the end of 2030, with at least 97% of installed devices operating in smart mode. That target implies millions of additional installations and SMETS1-to-SMETS2 replacements over the next several years, creating sustained demand for MAP services.

The Data Communications Company (DCC) reported an average of over 16,000 SMETS2 installations per weekday as of early 2026, underscoring the pace of ongoing deployment activity.

Competitive Landscape in UK Meter Asset Provision

OnStream’s repositioning under new ownership reshapes the competitive dynamics among the UK’s leading MAPs. Calisen, which operates under brands including the former Calvin Capital and Lowri Beck, remains the market leader with over 15 million installed meters. Calisen is backed by KKR and CVC Capital Partners through Calisen Group Holdings.

OnStream, with its seven million installed SMETS2 meters and a contracted pipeline bringing its potential total to ten million, now enters a growth phase under an infrastructure investor with a track record in European utility assets. Igneo’s portfolio already includes holdings in renewable energy platforms, district heating networks, and transportation concessions across Europe.

Other active participants in the UK MAP market include Northern Powergrid Metering and several smaller providers. The sector has experienced steady consolidation over the past decade as infrastructure funds have recognized the appeal of regulated, long-duration revenue streams tied to essential energy infrastructure.

Energy Transition and Smart Grid Implications

Smart meters serve as a foundational layer for the UK’s broader energy transition objectives. By providing near-real-time consumption data to both consumers and suppliers, SMETS2 devices enable flexible tariffs, demand-side response programmes, and improved grid balancing, all of which become increasingly important as the country integrates more variable renewable generation capacity.

The UK government has positioned smart metering as a prerequisite for meeting its net zero 2050 commitment. The devices also facilitate emerging energy infrastructure such as electric vehicle charging management, domestic battery storage integration, and heat pump optimization.

For OnStream, the transition to Igneo’s ownership signals continuity of operations with potentially greater investment capacity to fulfil its contracted orderbook and pursue new supplier relationships.
