Modaxo Group, the Toronto-based transport software organisation, announced on 3 November 2026 that it has acquired Fiscaltech, a Curitiba, Brazil provider of intelligent mobility systems for traffic control and monitoring, tolling and weigh-in-motion, whose systems manage more than 4,000 lanes of traffic across 25 Brazilian states. More than 250 Fiscaltech employees join Modaxo through the transaction, Fernando Varella continues as chief executive, and Fiscaltech keeps its own brand, according to the Modaxo release distributed through PR Newswire.
What Modaxo is buying
Fiscaltech has about 30 years of experience in intelligent transportation systems in Brazil and sells three named products: Fiscal Control for traffic management, Fiscal Free Flow 100% for automatic toll collection, and HSWIM Fiscal for precision weigh-in-motion. Its customers include public agencies, highway concessionaires and private operators.
Modaxo describes itself as a global technology organisation focused on moving people, it is a division of Constellation Software operating through the Volaris Group, formed on 20 October 2020 and headquartered in Mississauga, Ontario. Its brands include Trapeze Software, TripSpark, TransLoc, Vontas, RiderLoop and Busology, and the same source lists the fare collection and fleet management businesses Novvan and Routeward, acquired from Conduent in October 2026.

Free flow without in-road sensors
Fiscaltech launched Fiscal Free Flow 100% in April 2024, and the trade publication O Mecânico reported that it was developed with the highway concessionaire Eixo SP and the automatic payment company ConectCar. The system charges tolls without stops, requires no sensors installed in the road surface, and uses computer vision to classify each vehicle by its axle configuration, including lifted axles and single versus dual wheels.
Axle classification determines the toll class charged to each vehicle, which makes it the point at which free-flow billing accuracy is decided.
Brazilian free-flow market context
Free-flow tolling in Brazil has drawn regulatory attention in 2026. Jornal da Band reported on 11 April 2026 that the federal transport regulator ANTT suspended free-flow toll charges in the state of Paraná after irregular fines were issued to drivers.
Fiscaltech’s headquarters in Curitiba is the capital of Paraná, although the reporting reviewed does not connect the company to that suspension.
Leadership statement
“Joining Modaxo is an exciting new chapter for Fiscaltech,” said Fernando Varella, CEO of Fiscaltech, in the 3 November 2026 Modaxo release. Rod Jones, Modaxo’s Head of Americas, Australia and New Zealand, said in the same release that the deal broadens Modaxo’s offer in traffic management and gives the group a platform to grow across Brazil and South America.
The measurable test of that platform is how many lanes Fiscaltech’s products serve once they are sold alongside Modaxo’s transit software, since the 4,000 lanes in 25 states is the baseline from which any Brazilian or wider South American expansion under Modaxo ownership will be counted.
