BMF GRUP, the Romanian integrated facility management group, signed an agreement on 3 November 2026 to acquire 100% of the shares of Flash Lighting Services, a Bucharest company that designs, builds and manages smart lighting systems for Romanian municipalities, according to The Diplomat Bucharest. Completion is expected by the end of 2026 and is subject to clearance by the Romanian Competition Council and to foreign direct investment approval.
With Flash included, the combined turnover of all BMF GRUP companies is estimated to exceed EUR 180 million at the end of 2026, and the group’s next stated target is EUR 300 million together with expansion into foreign markets through organic growth and acquisitions.
What Flash Adds to a Facility Management Group
According to BMF GRUP, Flash contributes expertise in urban infrastructure and multi-year contractual relationships with local authorities, which are capabilities the group says complement its existing property management, energy efficiency and Smart City activities. Flash was founded in 2001 and is based in Bucharest, according to a Mergr deal record, which also lists an earlier acquisition of the company by CEE Equity Partners dated December 2018.

The Mergr record describes Flash’s business as the design, construction and management of smart lighting systems for municipalities in Romania, covering public space, festive and architectural lighting. The transaction price, Flash’s own turnover and the number of lighting points it manages were not stated in the announcement.
For a facility manager, a portfolio of municipal lighting contracts has a different revenue pattern from private building services: the counterparties are public authorities, the contracts run for several years, and payments follow public procurement and budget cycles.
Growth Since 2023: Private Equity Backing and an ENGIE Integration
The acquisition continues a strategy that BMF GRUP has pursued together with SARMIS Capital since the start of their partnership in 2023. SARMIS Capital announced its investment in BMF GRUP on 28 June 2023, in a deal described at the time as the largest investment in the Romanian facility management industry that year, according to ActMedia. SARMIS describes itself as a private equity fund focused on Romania and neighbouring countries.
Before Flash, BMF GRUP completed what it calls the recent integration of ENGIE Building Solutions, which it says strengthened its capabilities in green energy and decarbonisation. Flash is therefore the second acquisition in a sequence that moves the group from building operations toward energy efficiency and now toward urban infrastructure.
The sequencing matters for the EUR 180 million figure, which is an estimate of combined turnover across all BMF GRUP companies and includes the contribution from Flash even though the transaction has not yet closed. The group has not broken that total down between its subsidiaries.
Management Position
Gabriel Tomescu, CEO and Co-Founder of BMF GRUP, framed the acquisition around the group’s workforce rather than its technology. “Technology opens new possibilities, but it is people who turn it into useful solutions and into services that clients and communities can rely on,” said Gabriel Tomescu, CEO and Co-Founder of BMF GRUP, in the announcement published by The Diplomat Bucharest on 3 November 2026.
Regulatory Path and Market Context
The two approvals named in the announcement set the timetable. Clearance by the Competition Council will test whether combining a facility management group with a municipal lighting contractor raises concentration questions in the markets where both operate, while the foreign direct investment screening applies to transactions in areas the state treats as sensitive, which can include infrastructure serving public authorities.
Street lighting in Romania is largely managed through municipal contracts, so a change of control at a contractor can matter to the local authorities that hold those agreements. BMF GRUP’s stated intention is to keep Flash’s team in place and build on its experience, which would reduce the operational risk of a handover on existing municipal contracts.
Consolidation among facility management and energy services companies in Central and Eastern Europe has been driven by private equity funds assembling groups with broader service lines, and BMF GRUP’s path from a regional facility manager to a EUR 180 million group within three years of SARMIS’s entry follows that pattern.
The measure that will show whether the Flash purchase supports the EUR 300 million target is the share of that turnover that comes from recurring municipal lighting and smart city contracts once the two approvals are granted and the deal closes, and the first indication will come when the Competition Council issues its decision on a transaction the parties expect to complete before the end of 2026.
